Terms of Use

These Terms of Use ("Terms") are a binding agreement between eWire Holdings LLC, a Delaware limited liability company ("ewire," "we," "us"), and the business you represent ("you," "your") when you access ewire.ai (the "Site") or buy products or services through By creating an account, placing an order, or otherwise using the Site, you agree to these Terms. If you don't agree, don't use the Site.

1. Business use only

The Site is for use by businesses and their authorized employees or contractors. You represent that you are using the Site for business purposes, are at least 18 years old, and have authority to bind the business you represent.

2. Your account

You are responsible for the accuracy of information you provide, all activity under your account, and keeping your credentials secure. Notify us immediately at support@ewire.ai if you suspect unauthorized access.

3. Orders and pricing

When you place an order, you are making an offer to purchase. We may accept, modify, or decline any order, and we may correct pricing or typographical errors at any time before acceptance. An order is accepted when we send written confirmation or begin production, whichever is earlier.

All prices are in U.S. dollars and exclude taxes, shipping, and duties unless stated otherwise. You are responsible for all applicable taxes.

Credit card payments are charged at order acceptance. Approved net-30 accounts follow the separate Credit Application and terms provided at account approval. Late balances accrue interest at 1.5% per month or the maximum rate permitted by law, whichever is lower. You authorize us to charge the payment method on file for unpaid balances.

4. Custom orders are final

Custom cable assemblies and any products configured to your specifications are made-to-order. Once we accept your order and production begins, custom orders cannot be cancelled, returned, or refunded except where we have made a manufacturing error or breached the craftsmanship warranty below. This is a fundamental term of doing business with us.

5. Shipping and risk of loss

Delivery estimates, including any 24–48hr targets, are estimates and not guarantees. Risk of loss passes to you upon delivery to the carrier. Claims for shortages or shipping damage must be made within 5 buness days of delivery.

6. Craftsmanship warranty

For 30 days after delivery, we warrant that products will be free from defects in materials and workmanship under normal use and will conform to the specifications you selected at order. If a product fails to meet this warranty, your sole and exclusive remedy is, at our election, replacement, repair, or refund of the purchase price paid. To claim this warranty, contact support@ewire.ai with your order number and photos or documentation of the defect.

This warranty does not cover damage from misuse, improper installation, modification, exposure outside rated conditions, or use contrary to applicable codes or manufacturer guidance. You are solely responsible for confirming that the specifications you select meet your application's requirements, including all applicable electrical, safety, and building codes.

EXCEPT FOR THIS WARRANTY, ALL PRODUCTS AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," AND WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW.

7. AI features

The Site uses artificial intelligence to help you search, configure, and order products (the "AI Features"). AI Features are provided for convenience only and may produce outputs that are incomplete, inaccurate, or wrong. AI outputs are not engineering, electrical, safety, code-compliance, or professional advice. You must independently verify all specifications, compatibility, and code compliance before ordering, installing, or using any product. We are not responsible for decisions or actions you take based on AI Features.

You must not use AI Features to generate unlawful content, reverse-engineer our models or prompts, harvest outputs to train or build a competing product, or submit third-party confidential information you aren't authorized to share.

8. Acceptable use

You will not, and will not permit anyone else to:

• scrape, crawl, or systematically extract the Site, catalog, pricing, configurator data, or any content;
• reverse-engineer, decompile, or probe the Site for competitive purposes;
• use the Site or any content to train, benchmark, or build a competing product or service;
• access the Site by automated means except through APIs we expressly authorize in writing;
• circumvent any access, rate, or security controls;
• introduce malware or interfere with the Site's operation;
• misuse AI Features as described in Section 7; or
• resell, sublicense, or redistribute access to the Site.

We may suspend or terminate your access for any violation, with or without notice.

9. Intellectual property

We own the Site, the configurator, all software, content, designs, catalog data, pricing logic, trademarks, and related intellectual property (the "ewire IP"). We grant you a limited, non-exclusive, non-transferable, revocable license to use the Site solely to evaluate, configure, and purchase products for your business. You receive no other rights. Any feedback you provide may be used by us without restriction. Products you purchase become yours upon delivery; this license is separate from product ownership.

10. Your content

"Your Content" means orders, specifications, drawings, bills of material, files, messages, and any other information you submit. You retain ownership. You grant us a worldwide, non-exclusive, royalty-free license to use Your Content to operate the Site, fulfill your orders, improve our products and services, and comply with law. You represent that you have the rights to provide Your Content and that it doesn't infringe or violate anyone else's rights.

11. Indemnification

You will defend, indemnify, and hold harmless ewire and its officers, employees, and agents from any claim, loss, or expense (including reasonable attorneys' fees) arising from (a) Your Content, (b) your use of the Site or products, (c) your breach of these Terms, (d) your violation of any law or third-party right, (e) installation, application, or code-compliance errors on your side, or (f) claims brought by your own customers or end users relating to products you purchased from us.

12. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW:

(a) EWIRE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, LOST BUSINESS, DOWNTIME, OR DAMAGE TO REPUTATION, ARISING OUT OF OR RELATING TO THE SITE, THE PRODUCTS, OR THESE TERMS, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER THEORY, AND WHETHER OR NOT EWIRE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

(b) EWIRE'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SITE, THE PRODUCTS, OR THESE TERMS WILL NOT EXCEED THE GREATER OF (i) $100 OR (ii) THE TOTAL AMOUNTS YOU PAID TO EWIRE IN THE TWELVE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

(c) The limitations in this Section 12 apply regardless of whether any remedy fails of its essential purpose and are a fundamental basis of the bargain between you and us.

13. Term and termination

These Terms apply while you use the Site or have outstanding obligations to us. We may suspend or terminate your access at any time, including for non-payment. Upon termination, all outstanding balances become immediately due. Sections 4, 6, 9, 10, 11, 12, 14, and 15 survive termination.

14. Governing law and venue

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms, the Site, or the products must be brought exclusively in the state or federal courts located in Wilmington, Delaware, and you consent to personal jurisdiction and venue in those courts. The UN Convention on Contracts for the International Sale of Goods does not apply. Notwithstanding the foregoing, we may seek injunctive or other equitable relief in any court of competent jurisdiction to protect our intellectual property or confidential information.

15. Changes to these Terms

We may modify these Terms at any time by posting the revised version on the Site and updating the "Last updated" date. Material changes take effect 30 days after posting, or immediately for changes required by law. Your continued use after the effective date means you accept the changes. If you don't agree, stop using the Site.

16. Miscellaneous

These Terms, together with any order confirmation, credit agreement, or other written agreement between us, are the entire agreement between us and supersede all prior discussions. If any provision is held unenforceable, the rest remains in effect. Our failure to enforce any right is not a waiver. You may not assign these Terms without our written consent; we may assign without restriction.
